FCL is a law firm specializing in business law located in the Northern Suburbs of Chicago.  FCL represents both large and small businesses, private equity funds, individuals and financial institutions.  


Although FCL represents companies of all sizes, FCL was formed out of the need to provide high qualify representation at fair rate.  Many companies cannot afford to pay the rates of the mid-size and large national law firms.  FCL solves this issue.  Thom Ferguson worked in these size firms for 17 years, and based on interaction with clients and understanding their needs, formed FCL.

Corporate Counseling

FCL provides general corporate counseling for clients that do not have in-house counsel (or provide supplemental counsel to in-house lawyers).  Our legal services cover a wide range , including board governance, negotiating contracts (employment, joint venture, leases and services agreements, to name a few), advising on corporate structures, along with other legal matters that arise on a daily basis.

M&A

FCL represents clients in mergers and acquisitions, ranging from small business acquisitions / dispositions to multi-million dollar transactions.  Counseling includes all aspects of the M&A process, from NDA through closing.

Private Equity

FCL represents clients in connection with equity and debt financings - both issuers and investors.  Experience ranges from early stage venture financings to more traditional private equity investments.

Start-Ups

FCL represents entrepreneurs and early stage companies in a wide variety of industries.  Representation includes entity structure, as well as working with the client through initial stage matters often overlooked.

Banking

We represent financial institutions and borrowers in connection with traditional bank financing.

We also represent financial institutions in connection with providing credit facilities to private equity funds licensed by the Small Business Administration (SBICs), as well as equity investments by financial institutions into SBICs.
